Please read these Website Terms of Use (Terms) carefully before using the Partington website and social media sites (Sites). The Sites are owned and operated by Partington.CC Pty Ltd ACN 641 416 695 (Partington, we, us, our). By accessing or using the Sites, you agree to be bound by these Terms. If you do not agree, please do not use the Sites.
1. General(a) All material on the Sites is provided for general informational purposes only. We take care to ensure the accuracy of information on the Sites. However, materials on the Sites, including product specifications, pricing, and availability, are subject to change without notice.
(b) We reserve the right to change these Terms at any time. Changes take effect when posted on the Sites. Your continued use of the Sites after any changes constitutes your acceptance of the revised Terms.
(c) By allowing you to access the website, Partington grants you a non-exclusive and revocable licence to: (i) view the material on the Sites; (ii) access material contained on the Sites to the extent permitted by us; and (iii) use the Sites strictly in accordance with the provisions of this licence.
(d) If you wish to download and use any material contained on the Sites for a temporary and non-commercial purpose (such as viewing offline), you may do so. Except as expressly permitted by these Terms, you must not copy, reproduce, modify, distribute, publish, transmit, or create derivative works from any content on the Sites without our prior written permission.
(e) We do not sell any Partington wheelsets or related products (Products) directly to customers on our Sites. To purchase Products, please contact an affiliated retailer using the 'store locator' or contact sales@partington.cc.
(f) Partington reserves the right to discontinue or change any of its Products, prices, colours, materials, equipment or other specifications referred to on any of its Sites at any time without notice.
2. Access and Use(a) You may access and use the Sites solely for lawful purposes and in accordance with these Terms.
(b) You must not:
- Do any act that would constitute a breach of either the privacy (including uploading private or personal information without an individual's consent) or any other of the legal rights of individuals.
- Use the Sites for any unlawful or unauthorised purpose.
- Attempt to gain unauthorised access to any part of the Sites, our servers, or any systems or networks connected to the Sites.
- Interfere with or disrupt the operation of the Sites or the servers or networks hosting them.
- Transmit any material that is harmful, offensive, defamatory, obscene, or otherwise objectionable.
(c) We may, at our sole discretion, suspend or terminate your access to the Sites at any time and for any reason without notice.
3. Accounts, Forms and Passwords(a) Certain areas of the Sites may require you to register an account. If you register, you must: (i) provide accurate and complete information; (ii) keep your username and password confidential; (iii) not share your account credentials with any third party; and (iv) notify us immediately at contact.us@partington.cc if you suspect any unauthorised use of your account.
(b) You are responsible for all activity that occurs under your account. We may terminate your account at any time for any reason without notice.
(c) Depending on the purpose of your use of our Site, you may submit the following forms via our Sites (Forms):

- Warranty Form.
- Crash Replacement Form.
- Media Inquiry Form.
- Silver Retailer Form.
- Product Inquiry Form.
- Ambassador Application Form.
(d) You represent and warrant that all information you supply in any form submitted via the Sites is true and correct in all material respects. Any false, incorrect or misleading information submitted to us may result in us rejecting the Form and, subject to applicable law, may disqualify you from participating in our programs including under our manufacturer's warranty and crash replacement program.
4. Intellectual Property(a) You acknowledge that the material on the Sites is the subject of intellectual property and other legal rights (including third-party rights). We own or license from third parties all rights, title and interest (including copyright, designs, patents, trade marks and other intellectual property rights) in the Sites and all of the material (including all text, graphics, logos, audio and software) made available on the Sites (Content).
(b) Your use of the Sites and access to any Content does not grant or transfer any rights, title or interest to you in relation to the Sites or the Content. You must not, during or at any time after the expiry or termination of this licence, permit any act which infringes any of those rights. You must not copy the Content on the Sites or use it for personal or commercial purposes unless you have Partington's written approval, or as otherwise expressly authorised by this licence.
(c) Nothing in these Terms grants you any right or licence to use our trade marks, logos or brand names without our prior written consent.
5. Third Party LinksThe Sites may contain links to third party websites. Those links are provided for your convenience only. We do not control and are not responsible for the content, privacy practices, or terms of any third party website. We recommend you review the terms and privacy policy of any third party website you visit.
6. User Content(a) If any Site permits you to submit, post or upload any content to the Sites (including via any Form, forum, comment, or social feature), you: (i) warrant that you have the right to do so and that the content does not infringe any third party rights; (ii) grant us a perpetual, royalty-free, irrevocable, non-exclusive licence to use, reproduce, modify, adapt, publish, and distribute that content in any form or medium; and (iii) agree not to post content that is unlawful, offensive, defamatory, infringing, obscene, or otherwise objectionable.
(b) We reserve the right to remove any user content at our discretion without notice.
7. PrivacyYour use of the Sites is also governed by our Privacy Policy, which is available on our website at partington.cc/pages/privacy-policy and is incorporated into these Terms by reference. By using the Sites, you consent to the collection and use of your personal information as described in our Privacy Policy.
8. Disclaimer and Indemnity(a) The information on the Sites, including imagery, videos, podcasts, transcripts, information sheets and all other resources is not comprehensive and is intended to provide a summary of the subject matter covered. While Partington makes all reasonable attempts to ensure the accuracy and completeness of the information on the Sites, to the extent permitted by law, including the Australian Consumer Law, Partington does not warrant that: (i) the material or any Content on the Sites is accurate, complete or up to date; (ii) the Sites will be uninterrupted, error-free, or free of viruses or other harmful components; or (iii) any defects will be corrected.
(b) Partington reserves the right to change, add or remove any material on the Sites or suspend or terminate your access to any of the Sites or Content without notice and Partington will not be responsible for any loss, cost, damage or liability that may arise as a result.
(c) Under no circumstances will Partington be liable to you for the existence of inaccurate, incomplete or superseded Content or any interruption to your access to the Sites.
(d) Partington is not liable to you or anyone else if interference with or damage to your computer systems occurs in connection with the use of any of the Sites or a linked website. You must take your own precautions to ensure that whatever you select for your use from the Sites is free of viruses or anything else (such as worms or Trojan horses) that may interfere with or damage the operations of your computer systems.
(e) You indemnify and hold harmless Partington for any damage or loss it suffers as a result of your misuse of the Sites or the Content or any breach of these Terms.
9. Limitation of Liability(a) To the extent permitted by law, all implied terms are excluded and Partington does not accept any liability for damages of any kind resulting from the access or use of these Sites and its contents or as a result of any breach by us of the licence granted under these Terms.
(b) If any statute implies terms into this licence which cannot be lawfully excluded, such terms will apply to this licence, and our obligation to remedy any breach under these Terms or damage you incur from using our Site will be limited to the remedies available to you under the Australian Consumer Law.
(c) Nothing in these Terms is intended to exclude, restrict or modify rights that cannot be excluded under the Australian Consumer Law or any other applicable law.
(d) Partington will not be liable for any indirect or consequential losses arising out of a breach of these Terms, or arising in respect of the Content on the Sites or under any other circumstances.
10. Governing LawThese Terms are governed by the laws of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and any courts competent to hear appeals from those courts.
11. General(a) This licence commences upon your accessing the Sites and is granted in perpetuity. However, the licence may be terminated without notice by Partington and without cause.
(b) Upon termination, you or your representative must destroy any copies, electronic and printed, of material obtained from the Sites that you have in your possession or under your control or otherwise return or dispose of such material in the manner directed by Partington.
(c) Termination pursuant to this clause shall not affect any rights or remedies which Partington may otherwise have under this licence or at law.
(d) If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed from these Terms and will not affect the validity or enforceability of the remaining provisions.
(e) A failure or delay by Partington to exercise any right under these Terms does not constitute a waiver of that right or remedy. No waiver by Partington of any breach of these Terms will be considered a waiver of any subsequent breach of the same or any other provision of these Terms by you.
(f) The term Australian Consumer Law means Schedule 2 to the Competition and Consumer Act 2010 (Cth).
(g) Partington may at any time amend these Terms by publishing the updated Terms on the Sites. Such publication constitutes sufficient notice of the amendment.
